Terms and conditions for Corporate Members
The Digital Poverty Alliance is an initiative and working name of the Learning Foundation. Our aim is to end digital poverty in the UK once and for all. We offer corporate membership which allows organisations to participate in our Industry Forum, looking at a business-led response to digital exclusion.
The Learning Foundation is a registered charity, registered in England and Wales under registration number 1086306, and a registered Company in England and Wales number 3978344. Our registered address is 3rd Floor, 86-90 Paul Street, London EC2A 4NE.
The Learning Foundation Privacy Policy will apply to the processing of personal data in connection with the products and services we provide.
These terms and conditions provide details on how we will provide our corporate membership services to your organisation.
We will review these terms on a regular basis and may amend or change them at any time.
Definitions
For clarity the following terms refer to the Learning Foundation and Digital Poverty Alliance: “the Foundation”, “DPA”, “Alliance”, “we”, “us” or “our”
The terms “you”, “their”, “Organisational members”, “Industry Forum members” or “Corporate members” refer to DPA Corporate members.
- Applying for membership
1.1 By applying to become a Corporate Member or a Corporate Supporter of the DPA you agree to these terms and conditions.
1.2 The information you provide must be accurate and truthful and you must choose between standard or enhanced membership, and you must inform us whether you have more or less than 250 staff. The Chartered Institute reserves the right to cancel your membership if the application is found to have been based on untruths.
1.3 The membership benefits of each band can be found on the website.
1.4 You can apply to become a Member by emailing us.
1.5 We reserve the right to refuse any request for membership at our sole discretion.
1.6 Becoming a member
1.6.1 In order to become a member, you must email us and complete our membership form, including a PO where your organisation requires these. Your membership will commence on receipt of payment of our invoice. In our sole discretion, we may agree to list you as a member upon completion of the membership form, but if the invoice remains unpaid after 30 days, your membership will be removed.
1.6.2 Corporate members will be listed on our website, displaying their logos, and should be willing to participate in press and publicity.
2.0 Membership
2.1 Membership of the DPA is on a 12 month renewable contract from the date your membership takes effect. Membership entitles you to the benefits listed on our website from time to time.
2.2 We reserve the right, at our discretion, to make changes to any part of the membership services provided.
2.3 We reserve the right to change member benefits at our discretion.
3.0 Pricing
3.1 The pricing for all categories of Chartered Institute membership can be requested by contacting us.
3.2 Corporate Members may negotiate packages which include membership and options for sponsoring and exhibiting at events. Packages will be agreed during the membership application process and when membership is due for renewal.
3.3 All prices are expressed exclusive of any VAT payable unless otherwise stated.
3.4 We reserve the right to make changes to our membership pricing at any time.
3.5 You will be informed of any price changes prior to your renewal.
4.0 Payment
4.1 Corporate Members will be sent an invoice, but can contact us to pay by PayPal, payment card or cheque.
4.2 All invoices must be paid within 30 days.
4.3 The DPA reserves the right to cancel membership and/or remove access to membership benefits if payment is not received within 30 days of an invoice falling due.
5.0 Renewal of Membership
5.1 Renewal dates fall on the last day of the month in which you became a member. You will be invited to renew your membership prior to your annual renewal date.
5.2 Should payment not be received by your renewal date, your membership and all associated member benefits will be withdrawn and we will send you an email confirming this.
5.3 If you make a payment within 30 days of your notified renewal date, your membership benefits will be reinstated and your membership will continue for 12 months from your notified renewal date.
5.4 Renewal of membership indicates acceptance of the DPA’s terms and conditions.
6.0 Cancellation
6.1 You have the right to cancel your membership by giving us written notice at any time, either by post or electronically.
6.2 If you cancel membership within 14 days of the day you became a member we will reimburse all sums paid by you or on your behalf unless you have used your membership in any way, including participating in press activity around your membership, stating on social media that you are a member, or using membership benefits, in which case no refund will be due.
6.3 If you cancel membership after 14 days of the day you became a member or 14 days after your renewal date you will not be entitled to a refund and all sums for your annual membership will be due to the DPA.
6.4 Refunds for cancellation of membership will be paid only to the same account details as payment was received.
6.5 The DPA reserves the right to cancel your membership at any time and without refund should you fail to uphold the terms of this agreement and/or bring the DPA into disrepute.
7.0 Limitation of liability
7.1 Insofar as is permitted by law, the Digital Poverty Alliance, the Learning Foundation, its agents or distributors will not in any circumstances be responsible or liable to compensate any corporate member or accept any liability for any loss, damage, personal injury or death occurring as a result of participating in our corporate membership, except where it is caused by the negligence of the DPA, its agents or distributors or that of their employees. Your statutory rights are not affected.
8.0 Governing law
8.1 This scheme and all related matters will be governed by English law and applicants submit to the jurisdiction of the English courts.
